These Master Terms of Service ("Terms") govern your access to and use of websites, software platforms, educational programs, consulting services, digital tools, applications, and other services operated by Educo (collectively, the "Services"). These Terms apply to all websites and platforms operated by Educo, including but not limited to velora.so, profitable.io, specialise.io, sova.so, and any other websites, applications, products, or services made available by Educo now or in the future.
By accessing or using the Services, creating an account, purchasing a product or service, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional policies incorporated by reference, including the Privacy Policy and any applicable Platform Addenda.
If you do not agree to these Terms, you must not access or use the Services.
Educo reserves the right to modify or update these Terms at any time. Updated versions will be posted on the Services and will become effective upon posting unless otherwise specified. Continued use of the Services following such updates constitutes acceptance of the revised Terms.
1. Definitions
"Educo," "Company," "we," "us," or "our" refers to the entity operating the Services and its affiliates, subsidiaries, successors, and assigns.
"Services" means any websites, software platforms, applications, programs, digital tools, consulting services, educational materials, automation systems, AI tools, communities, or other services made available by Educo.
"User," "you," or "your" refers to any individual or entity that accesses, uses, purchases, or interacts with the Services.
"Platform Addenda" refers to supplemental terms that apply to specific Educo services, platforms, or products, including but not limited to addenda relating to OFM services, AI platforms, educational programs, consulting services, or other specialized offerings.
"User Content" means any data, materials, prompts, messages, documents, media files, transcripts, marketing materials, datasets, or other information submitted, uploaded, transmitted, or otherwise provided by users through the Services.
"AI Systems" refers to artificial intelligence systems, machine learning systems, automated analytics tools, prompt-processing systems, natural language processing models, or other automated technologies integrated into the Services.
"Third-Party Services" means external platforms, tools, APIs, payment processors, hosting providers, or other services not operated by Educo but that may interact with or be used in connection with the Services.
"Derived Data" means data generated by Educo through aggregation, transformation, analytics, machine learning training, anonymization, statistical analysis, or other processing of user inputs or system interactions.
"Subscription Services" means any Services that require recurring payments to maintain access.
2. Eligibility
You must be at least eighteen (18) years of age and capable of forming a legally binding contract in order to use the Services. By accessing or using the Services, you represent and warrant that you meet these eligibility requirements.
If you access the Services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms.
The Services may not be used by individuals or entities that are prohibited from using such services under applicable law or that have previously been suspended or terminated by Educo.
3. User Accounts and Platform Access
Certain features of the Services may require you to create an account. When creating an account, you agree to provide accurate, complete, and current information and to update such information as necessary to maintain its accuracy.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Educo immediately of any unauthorized access to your account or other security breaches.
Educo reserves the right to suspend, restrict, or terminate accounts that violate these Terms or that present security, legal, or operational risks to the Services.
4. Nature of Services
Educo provides a variety of digital services including educational programs, consulting services, software platforms, automation systems, artificial intelligence tools, analytics systems, digital communities, and other technology-enabled services.
The Services may include tools designed to assist users in developing businesses, analyzing information, generating content, automating workflows, or interacting with digital platforms. Certain Services may involve the processing of user-provided information through AI Systems or other automated technologies.
Users acknowledge that Educo provides tools, information, and technology systems but does not control or supervise how users implement such tools within their own businesses or activities.
5. No Professional Advice
The Services may include educational materials, informational content, analytics tools, or AI-generated outputs. Such information is provided for informational purposes only and should not be interpreted as legal, financial, investment, tax, accounting, or professional advice.
Educo does not provide legal or regulatory advice through the Services. Users are responsible for obtaining professional advice from qualified professionals regarding the legality, financial implications, or regulatory compliance of their activities.
You acknowledge that you have not relied on Educo for professional advice when making business, financial, or operational decisions.
5.1 Educational Programs and Training Content
Certain Services may include educational programs, training courses, consulting resources, instructional materials, workshops, digital content libraries, or other informational materials relating to business operations, marketing strategies, technology tools, entrepreneurship, digital commerce, or related professional topics.
Such materials are provided solely for general informational and educational purposes. Participation in educational programs or access to training materials does not create any guarantee of business success, revenue generation, subscriber growth, audience engagement, or financial performance.
Users acknowledge that business outcomes depend on numerous factors outside the control of Educo, including individual effort, experience, market demand, competitive conditions, regulatory requirements, platform policies, technological changes, and economic conditions.
Educo makes no representations or warranties regarding financial outcomes, business performance, or income potential resulting from participation in educational programs or the implementation of concepts discussed within such materials.
6. Intellectual Property Rights
All content, software, systems, tools, and materials provided through the Services are the property of Educo or its licensors and are protected by applicable intellectual property laws.
This includes, without limitation: software systems and platform architecture, automation workflows and algorithms, AI systems and prompt-processing frameworks, educational materials and program content, course materials and documentation, analytics systems and data processing tools, and trademarks, branding, and logos.
Users are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for their intended purposes and in accordance with these Terms.
Users may not copy, reproduce, distribute, modify, reverse engineer, create derivative works from, or otherwise exploit any portion of the Services without the prior written consent of Educo.
7. Platform Addenda and Supplemental Terms
Certain Services offered by Educo may be subject to additional terms, policies, or platform-specific provisions ("Platform Addenda") that supplement these Terms. Platform Addenda may apply to specific products, services, software platforms, programs, or categories of services operated by Educo, including but not limited to educational programs, consulting services, AI-powered platforms, OFM services, or other specialized offerings.
By accessing or using any Service that is governed by a Platform Addendum, you agree to be bound by the terms of that Platform Addendum in addition to these Terms. Platform Addenda are hereby incorporated into and form part of these Terms by reference.
In the event of a conflict between these Terms and a Platform Addendum, the provisions of the Platform Addendum shall control solely with respect to the specific Service to which the Platform Addendum applies, and the remaining provisions of these Terms shall remain in full force and effect.
Educo reserves the right to modify, update, or add Platform Addenda from time to time in order to address new services, technologies, regulatory requirements, or operational changes.
8. Data Collection, Use, Commercialization, and AI System Improvement
Educo collects, receives, generates, analyzes, and processes a wide range of information in connection with the operation, improvement, marketing, and commercialization of the Services. Such information may include, without limitation, identifiers such as name, email address, phone number, account credentials, payment information, IP addresses, device identifiers, cookies, tracking technologies, geolocation information, browser data, usage logs, session recordings, analytics data, platform interaction data, communications data, marketing engagement metrics, AI interaction data, prompts submitted to AI Systems, outputs generated by AI Systems, uploaded documents, transcripts, media files, and other materials provided or generated through use of the Services (collectively, "Data"). Data may include both Personal Data and non-personally identifiable information, as well as inferred information derived from user behavior, engagement patterns, transaction history, or platform interactions.
By accessing or using the Services, you acknowledge and agree that Educo may collect and process Data through automated technologies including cookies, pixels, tracking scripts, behavioral analytics tools, marketing technologies, AI systems, and other data collection technologies. Educo may collect Data directly from users, indirectly through interactions with the Services, through integrations with third-party platforms, through marketing and analytics providers, and through other lawful sources. Educo may also generate derived or inferred information based on Data, including predictive analytics, behavioral insights, marketing intelligence, and other algorithmically generated insights.
You grant Educo a perpetual, irrevocable, worldwide, royalty-free license to collect, store, process, analyze, use, reproduce, modify, adapt, publish, distribute, display, commercialize, and otherwise exploit Data for any lawful business purpose, including but not limited to operating and improving the Services, developing new technologies, training and improving AI Systems, conducting analytics and research, creating derivative datasets, enhancing marketing systems, improving platform functionality, and developing commercial data products.
Educo may combine Data with other information obtained from third-party sources, public datasets, marketing platforms, analytics providers, or affiliated entities in order to create enriched datasets, derived insights, or aggregated information products. Educo may create Aggregated Data and de-identified datasets that no longer reasonably identify any individual and may use such Aggregated Data for any lawful purpose without restriction.
To the extent permitted under applicable law, you further acknowledge and agree that Educo may share Data with affiliates, service providers, partners, marketing platforms, advertising networks, analytics providers, and other third parties in connection with the operation, marketing, improvement, or commercialization of the Services. Such activities may include marketing communications, behavioral advertising, retargeting campaigns, audience modeling, cross-device tracking, analytics processing, and other marketing or business intelligence activities.
You expressly authorize Educo to engage in commercial activities involving Data, including monetization and/or for-profit activities including but not limited to direct sale, indirect sale, licensing, transfer, securitization, placement into a priced or non-priced trust, and use as collateral in commercial transactions, subject to applicable law. Educo may also transfer Data as part of mergers, acquisitions, financing transactions, asset transfers, restructurings, or other corporate transactions.
With respect to AI Systems, you acknowledge that prompts, inputs, uploaded materials, interactions with AI chat interfaces, generated outputs, and related interaction data may be logged, analyzed, and used by Educo to improve AI Systems, develop new algorithms, create training datasets, enhance automation capabilities, generate statistical models, and develop derivative technologies or services. Unless otherwise expressly agreed in writing, interactions with AI Systems should not be considered confidential, and Educo may use such interactions to improve the functionality, performance, and capabilities of its AI technologies.
To the extent that Educo processes, analyzes, aggregates, transforms, or derives insights from Data collected through the Services, all resulting datasets, analytical models, statistical outputs, training datasets, behavioral analytics datasets, market intelligence datasets, prompt-response datasets, and other derivative or aggregated information products (collectively, "Derived Data") shall be exclusively owned by Educo. Nothing in these Terms shall be interpreted as granting any user ownership interest in Derived Data, analytics outputs, machine learning models, training datasets, or other intellectual property developed by Educo through the analysis or processing of Data collected through the Services.
9. Data Security and Breach Responsibility
Educo implements commercially reasonable administrative, technical, and organizational safeguards designed to protect information collected through the Services from unauthorized access, disclosure, alteration, or destruction. However, no internet-based system, cloud infrastructure, or electronic storage system can be guaranteed to be completely secure. By accessing or using the Services, you acknowledge and accept the inherent security risks associated with transmitting and storing information electronically.
Users are responsible for maintaining the security of their own systems, devices, networks, and account credentials used to access the Services. Educo shall not be responsible for unauthorized access to user accounts resulting from compromised passwords, credential sharing, phishing attacks, malware, device compromise, or other security failures occurring on the user's systems or networks.
To the fullest extent permitted by applicable law, Educo shall not be liable for damages arising from unauthorized access to or disclosure of information unless such damages result directly from Educo's gross negligence or willful misconduct. Any liability arising from a security incident shall remain subject to the limitations of liability set forth elsewhere in these Terms.
10. Platform Availability and Modifications
Educo continuously develops, improves, and modifies the Services. As a result, the Services may change over time, including the addition, modification, or removal of features, functionality, integrations, or content. Educo reserves the right to modify, suspend, discontinue, or restrict access to any portion of the Services at any time for operational, security, legal, or business reasons.
Educo does not guarantee uninterrupted access to the Services and shall not be responsible for temporary outages, interruptions, or service disruptions.
11. AI Systems and Automated Outputs
Certain Services may incorporate artificial intelligence systems, automated analytics tools, or machine learning technologies that generate outputs based on user inputs or other data sources.
Users acknowledge that AI-generated outputs may contain errors, omissions, inaccuracies, or content that may not be appropriate for specific purposes. Such outputs are generated automatically and are provided for informational or assistive purposes only.
Educo does not guarantee the accuracy, completeness, legality, reliability, or suitability of any AI-generated outputs and users are solely responsible for reviewing and evaluating such outputs before relying on them for business, legal, financial, marketing, or operational decisions.
12. AI Systems and Generated Output
Certain features of the Services may incorporate artificial intelligence, machine learning models, algorithmic automation systems, predictive analytics tools, or other computational technologies (collectively, "AI Systems"). AI-generated outputs provided through the Services are intended solely as informational or productivity tools and do not constitute legal advice, financial advice, tax advice, investment advice, medical advice, or any other form of professional advice. You are solely responsible for evaluating the accuracy and appropriateness of any AI-generated output before relying on it.
12.1 Automated Document Generation and Contract Tools
Certain features of the Services may allow users to generate contracts, agreements, business documents, transaction records, deal summaries, legal forms, or other structured documents using templates, automated workflows, artificial intelligence systems, or user-provided data inputs. Users are solely responsible for reviewing all documents generated through the Services and for obtaining independent legal advice from qualified professionals before relying on such documents in any legal, contractual, or commercial transaction.
13. Third-Party AI Providers and API Integrations
Certain features of the Services may permit users to connect third-party artificial intelligence systems, software tools, data platforms, or other external services through application programming interfaces ("APIs") or similar integration mechanisms. You acknowledge that third-party service providers operate independently from Educo and are not controlled by Educo. Educo shall not be responsible for any damages, losses, interruptions, or liabilities arising from the actions, omissions, or policies of third-party service providers.
You further acknowledge that interactions initiated through the Services using third-party API credentials may generate usage charges, service fees, or other costs imposed by the relevant third-party provider. Such charges are solely your responsibility.
14. User-Submitted Content; Rights and Permissions
The Services may allow users to upload, submit, transmit, or otherwise provide content including documents, transcripts, marketing materials, media files, datasets, business information, prompts, or other materials for analysis, processing, storage, or interaction with AI Systems. You represent and warrant that you possess all necessary rights, permissions, licenses, and authority to submit such materials and to authorize their use in connection with the Services.
By submitting content to the Services, you grant Educo a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to access, store, reproduce, process, analyze, modify, adapt, distribute, display, and otherwise use such content in connection with the operation, improvement, development, and commercialization of the Services.
14.1 Data Ingestion and Scraped Content Responsibility
You represent and warrant that you possess all necessary legal rights, permissions, licenses, and authority to collect, access, upload, submit, process, analyze, and use such materials through the Services. You agree to indemnify, defend, and hold harmless Educo from and against any claims, damages, liabilities, costs, or expenses arising from the submission, processing, analysis, or use of scraped, imported, or externally sourced materials through the Services.
14.2 Testimonials, Marketing Use, and Publicity Rights
By submitting content to the Services, providing feedback, communicating with Educo, posting about the Services on social media, or otherwise interacting with Educo, you grant Educo a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to reproduce, publish, display, distribute, adapt, modify, edit, excerpt, and otherwise use any feedback, testimonials, reviews, statements, case studies, success stories, screenshots, communications, results descriptions, or other materials relating to your use of the Services in connection with marketing, promotion, advertising, sale, or improvement of the Services.
14.3 Illegal Content and Prohibited Materials
Users are strictly prohibited from uploading, submitting, transmitting, storing, processing, or otherwise making available through the Services any content that is unlawful, harmful, abusive, exploitative, or otherwise prohibited under applicable law. Educo reserves the right, but not the obligation, to review, remove, restrict access to, or report any materials that Educo reasonably believes may violate these Terms or applicable law.
15. Payments, Billing, Subscriptions, and Cryptocurrency
Certain Services may require payment of fees in order to access subscription services, software platforms, educational programs, consulting services, digital products, or other offerings provided by Educo. By purchasing or subscribing to any paid Service, you agree to pay all applicable fees and charges associated with the selected Service in accordance with the pricing, billing terms, and payment methods presented at the time of purchase.
Subscription Services may be billed on a recurring basis. Unless otherwise specified, subscriptions automatically renew at the end of each billing cycle at the then-current pricing for the applicable Service.
Certain Services may permit payment using digital assets or cryptocurrencies. Unless otherwise expressly stated, cryptocurrency payments are final and non-refundable once processed.
16. Refunds, Cancellations, and Access Termination
Except where expressly stated in a Platform Addendum or in the specific terms presented at the time of purchase, all purchases made through the Services are final and non-refundable.
Educo DOES provide a seven (7) day, no questions asked money back guarantee for courses and access purchased through Profitable, Specialise, Velora, or Sova. If you wish to receive a refund, written notice of this request must be sent via email to hunter@educo.com within seven (7) days of the purchase.
For specific services which are agreed to through a separate agreement and/or include a Statement of Work ("SOW"), there is NO seven (7) day money back guarantee. In these circumstances, Educo does not provide guaranteed refunds, satisfaction guarantees, or performance-based refund rights unless expressly stated in a written SOW in connection with a specific offering.
17. Prohibited Conduct
In connection with your use of the Services, you agree not to engage in any activity that interferes with the operation of the Services, violates applicable law, infringes the rights of others, or exposes Educo to legal or operational risk. Users may not attempt to reverse engineer, decompile, disassemble, scrape, extract, copy, replicate, or otherwise derive the source code, system architecture, algorithms, automation workflows, datasets, or proprietary technologies underlying the Services.
Users may not use the Services to develop, train, improve, or operate competing artificial intelligence systems, data products, analytics platforms, or software services that replicate or compete with the functionality of the Services.
17.1 Independent Judgment; No Reliance
You expressly acknowledge that you are acting independently in your use of the Services and that you have not relied upon any statements, representations, analyses, AI-generated outputs, training materials, consulting guidance, marketing examples, automation workflows, or other materials provided through the Services as the basis for any legal, financial, investment, regulatory, operational, or business decision.
17.2 User Responsibility for Legal and Regulatory Compliance
You acknowledge and agree that you are solely responsible for ensuring that your use of the Services and any activities conducted in connection with the Services comply with all applicable laws, regulations, platform policies, and contractual obligations applicable to you or your business activities.
17.3 Third-Party Platform Policies and Compatibility
You remain solely responsible for ensuring that your use of the Services complies with the terms of service, policies, and rules governing any Third-Party Platforms with which you interact. Educo shall not be responsible for actions taken by Third-Party Platforms, including account suspensions, content removals, API access restrictions, technical changes, policy enforcement actions, or other decisions.
18. Indemnification
You agree to indemnify, defend, and hold harmless Educo and its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and successors (collectively, the "Educo Parties") from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees and legal costs, arising out of or related to your use of the Services or your violation of these Terms.
19. Limitation of Liability
To the fullest extent permitted by applicable law, the Educo Parties shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or related to your use of or inability to use the Services, even if Educo has been advised of the possibility of such damages.
To the maximum extent permitted by law, the total aggregate liability of the Educo Parties for any claims arising out of or related to the Services or these Terms shall not exceed the greater of (i) the total amount paid by you to Educo for the applicable Services during the twelve (12) months preceding the event giving rise to the claim, or (ii) one thousand U.S. dollars (USD $1,000).
20. Dispute Resolution; Arbitration Agreement; Class Action Waiver
You and Educo agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any relationship between you and Educo, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory (collectively, "Disputes"), shall be resolved exclusively through binding arbitration on an individual basis rather than through litigation in court, except as otherwise expressly provided in this section. This arbitration agreement is governed by the Federal Arbitration Act.
All arbitrations shall be administered by the American Arbitration Association ("AAA") in accordance with its applicable consumer or commercial arbitration rules. Unless otherwise required by applicable law, the arbitration shall take place in Denver, Colorado.
Class Action and Representative Action Waiver
To the fullest extent permitted by applicable law, you and Educo agree that any arbitration shall be conducted solely on an individual basis. You waive any right to participate in a class action, class arbitration, collective action, private attorney general action, or other representative proceeding.
Jury Trial Waiver
To the extent any Dispute is permitted to proceed in court rather than arbitration, you and Educo knowingly and voluntarily waive any right to a trial by jury.
Arbitration Opt-Out
You may opt out of this arbitration agreement by providing written notice to Educo within thirty (30) days of first accepting these Terms. Arbitration Opt-out notifications may be sent to: hunter@educo.io.
21. Governing Law
These Terms and any disputes arising out of or relating to the Services shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located within the State of Colorado.
22. Assignment and Corporate Transactions
You may not assign, transfer, delegate, or otherwise convey any rights or obligations under these Terms without the prior written consent of Educo. Educo may assign, transfer, or otherwise convey its rights and obligations under these Terms without restriction.
23. Force Majeure
Educo shall not be liable for any failure or delay in the performance of its obligations under these Terms due to events beyond its reasonable control, including but not limited to acts of God, natural disasters, fires, floods, war, terrorism, civil unrest, labor disputes, internet outages, power failures, cybersecurity incidents, government actions, regulatory changes, interruptions in telecommunications infrastructure, or failures of third-party service providers.
24. Severability
If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
25. Waiver
The failure of Educo to enforce any provision of these Terms shall not constitute a waiver of that provision or of the right to enforce it in the future. Any waiver of a provision must be in writing and signed by an authorized representative of Educo.
26. Entire Agreement
These Terms, together with the Privacy Policy and any applicable Platform Addenda, constitute the entire agreement between you and Educo regarding the Services and supersede all prior or contemporaneous agreements, communications, or understandings relating to the subject matter herein.
27. Electronic Communications; Text Messaging; TCPA Compliance
By using the Services and providing your contact information, including your email address or telephone number, you consent to receive communications from Educo electronically. Such communications may include service-related messages, account notifications, marketing communications, and promotional messages delivered via email, telephone, or text message (SMS or MMS), where permitted by applicable law.
User hereby provides express consent to receive marketing messages via phone call, text message, email, and any other reasonable means at any time, including "quiet hours" as defined by the TCPA or any state law equivalent. If you wish to assert any claim relating to alleged violations of telemarketing timing restrictions or similar electronic communications regulations, you agree to provide Educo with written notice of the allegedly non-compliant communication within thirty (30) days of receipt.
